GPU Mart is the online storefront, operated and marketed under the <b>RDP Technologies Limited<\/b> brand. Grievance Officer: Omprakash, GPU Mart Operations Manager &mdash; grievance@rdp.in, +91 720 794 8743. <span class=\"law\">Disclosure provided under the Consumer Protection (E-Commerce) Rules, 2020.<\/span><\/div>\n<p class=\"lead\">These Terms of Sale form the contract for the purchase of products and services from GPU Mart, between you and the seller, RDP Computers Private Limited.<\/p>\n<h2>1. The contract and its order of precedence<\/h2>\n<p>These Terms of Sale apply to every sale of hardware, systems, and related services through GPU Mart by the seller, <strong>RDP Computers Private Limited<\/strong>. They are read together with the <a href=\"\/gpu-mart\/terms-conditions\/\">Terms &amp; Conditions<\/a>, the applicable quotation, and any signed agreement, which form the contract under the Indian Contract Act, 1872 and the Sale of Goods Act, 1930. In case of conflict, a signed agreement prevails, then the quotation, then these Terms of Sale. Your standard purchase-order terms apply only if expressly accepted by us in writing.<\/p>\n<h2>2. Quotations and order acceptance<\/h2>\n<p>A quotation is an invitation to offer, valid for 15 days unless stated otherwise. An order placed online or by purchase order is your offer to buy. A binding contract is formed only when RDP issues written order acceptance or a proforma\/tax invoice confirming the order. We may decline an order before acceptance.<\/p>\n<h2>3. Prices, taxes and price variation<\/h2>\n<p>Prices are in Indian Rupees (INR, &#8377;) and, unless stated, exclude GST, other taxes, freight, insurance, and installation. For configured or imported systems, pricing may be subject to vendor and foreign-exchange variation up to order acceptance. GST is charged and invoiced as per the CGST\/IGST Acts; see the <a href=\"\/gpu-mart\/payment-billing-gst\/\">Payment, Billing &amp; GST Policy<\/a>.<\/p>\n<h2>4. Payment terms<\/h2>\n<p>Unless agreed otherwise, payment terms are 100% advance against our proforma invoice, unless written credit terms are separately agreed. Accepted methods: NEFT, RTGS and IMPS bank transfer, UPI, corporate credit\/debit cards, and approved purchase orders. Overdue amounts on credit terms may attract interest at 1.5% per month (18% per annum) and suspension of further dispatch, as permitted by law.<\/p>\n<h2>5. Delivery, title and passing of risk<\/h2>\n<p>Delivery and lead times are estimates dependent on stock and supply conditions; time is not of the essence unless expressly agreed in writing. We may deliver in instalments. Under the Sale of Goods Act, 1930, unless agreed otherwise, <strong>risk<\/strong> passes to you on delivery to the address or carrier nominated in the order, and <strong>title<\/strong> passes only on receipt of full payment. Detailed terms are in the <a href=\"\/gpu-mart\/shipping-delivery\/\">Shipping &amp; Delivery Policy<\/a>.<\/p>\n<h2>6. Configured \/ build-to-order systems<\/h2>\n<p>Custom-configured (CTO) systems are governed additionally by the <a href=\"\/gpu-mart\/build-to-order\/\">Build-to-Order Policy<\/a>, including different cancellation\/return rules and dependency on component availability and vendor allocation.<\/p>\n<h2>7. Cancellation, returns and refunds<\/h2>\n<p>Cancellations, returns, and refunds are governed by the <a href=\"\/gpu-mart\/refund_returns\/\">Returns, Refunds &amp; Cancellations Policy<\/a>. Configured, special-order, preorder, and imported items may be non-cancellable once components are allocated or procured. Your statutory rights for defective goods under the Consumer Protection Act, 2019 are unaffected.<\/p>\n<h2>8. Warranty and support<\/h2>\n<p>Products are covered as set out in the <a href=\"\/gpu-mart\/warranty-support\/\">Warranty &amp; Support Policy<\/a> (OEM vs reseller coverage, DOA\/RMA, exclusions). Service levels, where purchased, follow the <a href=\"\/gpu-mart\/service-level\/\">Service Level &amp; Turnaround Policy<\/a>.<\/p>\n<h2>9. Limitation of liability<\/h2>\n<p>To the maximum extent permitted by law, RDP is not liable for indirect or consequential loss, or loss of profit, data, or downtime. Our total liability for any claim is limited to the total amount paid for the product or service that is the subject of the claim. Statutory rights and liabilities that cannot be excluded by law are unaffected.<\/p>\n<h2>10. Force majeure (including natural calamities)<\/h2>\n<p>RDP is not liable for delay or failure caused by events beyond its reasonable control, including <strong>natural disasters, floods, fire, earthquake, cyclone, epidemic or pandemic, war, terrorism, civil unrest, strikes or labour disputes, port or customs delays, government or regulatory action, vendor allocation or shortage, semiconductor supply disruption, logistics or transport disruption, and power or network outages<\/strong>. During such an event we may revise ETAs, ship in part, suspend obligations, or renegotiate timelines where legally permitted.<\/p>\n<h2>11. Export and international orders<\/h2>\n<p>Cross-border orders are additionally governed by the <a href=\"\/gpu-mart\/export-international\/\">Export &amp; International Orders Policy<\/a>, including export controls and Incoterms.<\/p>\n<h2>12. Governing law, jurisdiction and dispute resolution<\/h2>\n<p>This contract is governed by the laws of India. Subject to applicable law, the competent courts at Hyderabad, Telangana have exclusive jurisdiction. The parties will first attempt good-faith resolution; unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, seated at Hyderabad, Telangana, where the parties so agree in writing.
